Welcome to StoReel Canvas! These Terms of Service ("Terms") constitute a legally binding agreement between you and StoReel ("we," "us," or the "Company") regarding your use of our AI agents and related product services (the "Services").
PLEASE READ THESE TERMS CAREFULLY. THESE TERMS CONTAIN A MANDATORY INDIVIDUAL ARBITRATION PROVISION AND A CLASS ACTION WAIVER (SEE THE "GOVERNING LAW AND DISPUTE RESOLUTION" SECTION). UNLESS YOU OPT OUT, THESE PROVISIONS WILL REQUIRE YOU TO RESOLVE DISPUTES WITH US THROUGH INDIVIDUAL ARBITRATION RATHER THAN JURY TRIALS OR CLASS ACTIONS.

StoReel Canvas utilizes artificial intelligence technology to assist users in creating, editing, and generating videos, images, or other content. You must create an account and provide accurate, up-to-date information. You are responsible for maintaining the confidentiality of your account credentials. The account is for your personal use only, and sharing, transferring, or selling your account is strictly prohibited. We may offer testing (Beta) features. THESE FEATURES ARE PROVIDED "AS IS" AND MAY CONTAIN DEFECTS. YOU AGREE THAT ALL RISKS ARISING FROM YOUR USE OF BETA FEATURES ARE BORNE SOLELY BY YOU.
We offer free trials and paid subscription plans. If you choose an auto-renewing subscription plan, the system will automatically charge you at the then-current price at the end of the current billing cycle, unless you cancel the auto-renewal through your account settings prior to the end of the cycle. You bear full responsibility for all input content you upload, post, or transmit ("User Content"), and you represent and warrant that you possess the necessary rights and licenses. Uploading data that violates US national security or applicable laws and regulations is strictly prohibited. We have no obligation to pre-screen content, but we reserve the right, at our sole discretion, to remove content for any reason. You shall bear any third-party claims, fines, or losses resulting from your violation of this section.
StoReel Canvas and its licensors retain all rights, title, and interest in and to the Services (including software, interfaces, algorithms, and proprietary content). You retain full ownership of the "User Content" you upload. However, by using the Services, you grant StoReel a worldwide, royalty-free, irrevocable, and sublicensable license to use, reproduce, and process your inputs and outputs for the purposes of operating and promoting the Services, and improving our machine learning models. Uniqueness and Copyright of Outputs: Due to the nature of generative AI, your outputs may not be unique, and other users may generate identical or similar content. You agree to waive any claims against us arising from similar outputs generated by others. Furthermore, pursuant to current United States Copyright Office guidelines, content generated purely by AI may not be subject to copyright protection. We do not guarantee that the generated content will be free from third-party claims or suitable for your specific commercial use; you are responsible for conducting your own legal review.
If you believe that content within the Services infringes upon your copyright, please submit a written notice to our designated agent in accordance with the US Digital Millennium Copyright Act (DMCA). The notice must include: identification of the alleged infringing work, a description of where the infringing material is located within the Services, your contact information, and a good faith statement made under penalty of perjury that you are authorized to act on behalf of the copyright owner. We reserve the right to terminate the accounts of repeat infringers.
The Services may contain links to third-party websites or resources. We are not responsible for the availability, accuracy, or legality of such third-party materials. You assume all risks associated with accessing these links.
Disclaimer of Warranties: THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STOREEL EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.Limitation of Liability: IN NO EVENT SHALL STOREEL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.Indemnification: You agree to defend, fully indemnify, and hold StoReel harmless from and against any claims, demands, or damages arising out of your breach of these Terms or your violation of any third-party rights.
Governing Law: These Terms and any disputes arising out of these Terms shall be governed by the laws of the State of Delaware (or the state where your company is registered), without regard to its conflict of law principles. Mandatory Arbitration and Class Action Waiver: The parties agree to attempt an informal resolution for at least thirty (30) days prior to initiating any formal legal proceedings. If the dispute cannot be resolved informally, any dispute arising out of these Terms or the Services shall be submitted to the American Arbitration Association (AAA) for binding and confidential arbitration under its Commercial Arbitration Rules. BOTH PARTIES EXPRESSLY WAIVE THE RIGHT TO A JURY TRIAL AND AGREE TO RESOLVE DISPUTES SOLELY ON AN INDIVIDUAL BASIS, AND WILL NOT SEEK OR PARTICIPATE IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If local laws prohibit such waivers, that specific provision shall automatically be governed by local law.
